The secondement.com Website is published by SLLIX SASU. These General Terms of Use define the conditions governing use of the Website. By browsing the Website, you acknowledge that you have read and accepted these General Terms of Use.

SLLIX SASU may amend these General Terms of Use at any time, in particular to reflect legal, regulatory, case-law or technical developments. The applicable version is the version available online at https://secondement.com. Users are therefore required to refer to the version available online on the date they access and use the Services.

The User is expressly informed that the only authoritative version of the General Terms of Use governing the Services is the version published online on the Website. The User acknowledges and accepts this without restriction and undertakes to consult it whenever using the Website.

You are invited to review these General Terms of Use each time you visit the Website and to stop accessing the Website or using its services if you do not agree with the applicable version.

Definitions

Capitalized terms used in these General Terms of Use have the following meanings:

  • “Terms”: these General Terms of Use.
  • “Content”: all information made available to Users by SLLIX SASU.
  • “Personal Data”: any information relating to an identified or identifiable natural person recorded by the User when registering for or using the Services offered by SLLIX SASU, including access to an interface enabling the purchase and sale of pre-owned bags.
  • “Identifier”: information required to identify a User on the Website and access the Service.
  • “Hyperlink”: a reference embodied by a word, icon or logo that allows a user to move from one document or web page to another. SLLIX SASU is not responsible for the content of third-party websites accessed through hyperlinks.
  • “Password”: confidential information that the User must keep secret and that, together with the Identifier, is used to prove identity and access the Service.
  • “Website”: the website made available to Users at https://secondement.com.
  • “Product”: any product that may be bought or sold by a User through the Website.
  • “Prohibited Product”: any counterfeit, prohibited, unlawful or non-compliant product, including products contrary to public policy or prohibited by legal, regulatory or contractual provisions, unauthorized copies constituting counterfeits under intellectual-property law, or products offered in breach of selective or exclusive distribution arrangements.
  • “Compliant Product”: a Product that is authentic and corresponds to the description provided by the User or by SLLIX during a purchase or sale through the Website.
  • “User”: any individual or professional using services offered by SLLIX SASU through the Website.
  • “Seller”: a Member submitting a request to sell a Product through the form available on the Website.
  • “Buyer”: a Member who has accepted an offer and indicated an intention to purchase a product and/or service on the Website.
  • “Member”: a Seller or Buyer using the Website after accepting these Terms. Members undertake to provide accurate information regarding identity, address and any other information required to access the Website, and to keep such information up to date. Members must be at least 18 years old.
  • “Expert Assessment”: the service provided by secondement.com, including where appropriate through external partners, to determine that a Product is not a Prohibited Product, describe it according to its actual appearance and determine an estimated value. This service is included in the commission charged by SLLIX SASU.
  • “Price”: the price proposed by SLLIX SASU for the purchase or sale of a Product on the Website and accepted by the Seller or Buyer.
  • “Product Page”: the descriptive page for a Product published on the Website by SLLIX SASU and prepared by the SLLIX sales team.
  • “Commercial Offer”: the purchase price proposed by SLLIX in response to a Seller's request to sell a Product. This Commercial Offer is confidential and communicated only to the Seller.
  • “Transaction Price”: the total amount payable by the Buyer, including the sale price of the Product and shipping costs.
  • “Catalogue”: all items offered for sale on the Website.

Purpose

These Terms define the conditions under which SLLIX SASU makes the Website and its services available to Users and the conditions under which Users access and use them.

Any connection to or access to the Website implies the User's full and unconditional acceptance of and compliance with these Terms.

The User acknowledges having read and accepted the Terms without reservation and confirms having legal capacity to enter into them. These Terms prevail over any other conditions contained in another document unless expressly agreed otherwise in writing. A User who does not wish to accept all or part of the Terms must not use the Service.

Article 1 – Obligations of SLLIX SASU

1.1 SLLIX SASU makes its offers to sell Products from its Catalogue available to Buyers through secondement.com. SLLIX SASU also provides Sellers with a buy-back service allowing them to submit a sale request using the form available on the Website. After processing a sale request, SLLIX SASU may choose to issue the Seller with a Commercial Offer within no more than 48 hours.

1.2 SLLIX SASU undertakes to assess the Products offered for sale on the Website in order to verify their conformity. For this purpose, the Seller authorizes SLLIX SASU to assess the Product submitted for sale. SLLIX SASU may conduct the assessment through its own teams and/or specialist partners.

1.3 SLLIX SASU reserves the right to accept or refuse any sale request submitted by a Seller through the Website.

1.4 In some cases, SLLIX SASU may own Products offered for sale on the Website.

1.5 SLLIX SASU cannot guarantee a Seller that a Product will not be returned following physical inspection of the Product or the exercise of a statutory withdrawal right.

1.6 If a Member fails to comply with these Terms, SLLIX SASU may at any time remove the relevant Product from sale, suspend the Member's account and block amounts recorded on the account until the dispute has been resolved.

1.7 SLLIX SASU undertakes to keep personal information relating to Members, Sellers and Buyers confidential and not to disclose it to third parties, including other Members, except where expressly requested by judicial or regulatory authorities, notably where a possible criminal offence has been detected.

1.8 Information and documents available on or through the Website originate from sources considered reliable. Use of the information and Content available on the Website remains the User's responsibility. Information may be amended or updated at any time. SLLIX SASU nevertheless implements measures intended to protect the security and confidentiality of Personal Data transmitted through the Website. One or more cookies that do not themselves contain Personal Data may be placed on the User's device for identification and operation of the Service.

Article 2 – Obligations of Members

2.1 A registered Member receives personal access credentials and undertakes to keep them confidential. Only the registered Member may use the Website with those credentials. The Member must not allow another person to access the Website under the Member's identity or username. If the Member becomes aware of unauthorized access, the Member must inform SLLIX SASU without delay and confirm the notification in writing.

2.2 The Member must not select an identifier that infringes a third party's rights, including intellectual-property rights, trademarks, company names or personal information.

2.3 The Member must not create or use additional accounts under the Member's own identity or that of a third party without the express prior authorization of secondement.com. Unauthorized multiple accounts may result in immediate suspension of the Member's accounts and associated services.

2.4 In a dispute between Members, records held on SLLIX SASU servers relating to use of the Website and Member access credentials may be relied upon as evidence between the parties.

2.5–2.7 Members must not offer, keep listed, purchase or otherwise transact in Prohibited Products, directly or indirectly. If SLLIX SASU identifies an attempted purchase, sale or offer of a Prohibited Product, it may immediately suspend the Member's account and inform the competent authorities.

2.8 Users acknowledge the limitations and constraints inherent in the internet, including the impossibility of guaranteeing total security of data exchanges. SLLIX SASU is not liable for loss arising solely from the transmission of information, including Identifiers and Passwords, over the Service, except where liability cannot legally be excluded.

2.9 Users undertake generally to comply with all applicable French and European laws and regulations.

Article 3 – Sale process

3.1 If the Seller accepts the proposed sale conditions, the Seller confirms acceptance by email. The sales mandate or sale agreement is signed and made available to SLLIX SASU when the Seller definitively provides the Product. Within 48 hours after acceptance of the Commercial Offer, SLLIX SASU may arrange collection by a specialized carrier. The Seller receives shipping documentation and a link allowing collection to be scheduled. Transport from the Seller to SLLIX SASU is prepaid by SLLIX SASU. The Seller may alternatively send the Product by the Seller's own means to the address communicated by SLLIX SASU.

3.2 A Seller may refuse to provide the Product after receiving the Commercial Offer. In that case the process ends and the preliminary assessment remains free of charge.

3.3 Upon receipt, SLLIX SASU physically examines the Product and confirms its valuation and sale conditions. Following the Expert Assessment, an attestation may be issued stating that the Product is not counterfeit and corresponds to the Seller's description. If the Product is disputed or non-compliant, it may be returned to the Seller at the Seller's expense.

3.4 Authenticity is a core part of SLLIX SASU's service. The resale of counterfeit products is strictly prohibited. Members must not transact in counterfeit or illegal products through the Website. Counterfeiting is punishable under applicable law. A Seller submitting a counterfeit or prohibited item may have the account suspended. Repeated violations may result in longer suspension. A non-compliant item that the Seller fails to recover within four months may, subject to applicable law, become the property of SLLIX SASU for destruction or charitable donation where possible, without compensation to the Seller.

3.5 The Seller retains ownership of the Product until completion of the transaction. Until the assessment process is completed, SLLIX SASU acts under authority from the Seller to take steps necessary to facilitate the transaction.

Article 4 – Specific obligations of Sellers

4.1 The Seller warrants that any Product offered is tangible property that the Seller fully owns and is entitled to sell, is immediately available and is not a Prohibited Product. The Seller must have possession of the Product.

4.2 The Seller must describe the Product using the criteria requested by SLLIX SASU and provide at least four photographs. The description must correspond to the Product's actual characteristics, including product name, features, brand and condition according to the scale provided by SLLIX SASU.

4.3 The Seller is responsible for accurately informing SLLIX SASU of the Product's essential characteristics. The preliminary assessment does not bind SLLIX SASU. If the Seller's description is inaccurate or incomplete, SLLIX SASU may propose a different price after physical inspection, and no claim may be made solely on the basis of the preliminary estimate.

4.4 The Seller must confirm whether the Commercial Offer is accepted. Once an offer transmitted by SLLIX SASU has been accepted, the Seller may no longer withdraw except where a mandatory legal right applies.

4.5 – Professional Sellers. A Seller acting professionally must identify as such. SLLIX SASU reserves the right not to contract with a professional Seller. Professional Sellers remain responsible for complying with laws governing professional distance selling, including social and tax reporting obligations, applicable waste rules, conformity guarantees and commercial warranties.

Article 5 – Specific obligations of Buyers

Some Products, including certain exotic skins or precious materials, cannot be shipped to particular countries. The Buyer is responsible for checking the customs and import rules of the destination country.

Delivery is performed by a carrier approved by SLLIX SASU. The Buyer must provide an accurate delivery address, any relevant delivery preferences and a valid telephone number. SLLIX SASU and the carrier cannot be held responsible for an inability to deliver caused by inaccurate or incomplete delivery information supplied by the Buyer.

5.1 To combat fraud, SLLIX SASU may exceptionally request verification of the Buyer's identity. Failure to provide requested information may result in cancellation of the transaction.

5.2 The Buyer must comply with laws and regulations applicable to the acquisition of goods. The Buyer is informed that VAT, customs duties or other import charges may be payable, particularly where Products cross customs borders.

5.3 Where a payment default results from fraudulent use of a payment method, administrative charges may be applied to the Buyer to the extent permitted by law.

5.6 A purchase is validated only after secure electronic payment has been completed directly through secondement.com. The sale is deemed concluded when SLLIX SASU acknowledges receipt and collects the full Transaction Price, subject to any condition relating to the Expert Assessment. The Product will then be shipped.

5.7 secondement.com is responsible for proper performance of its obligation to deliver the ordered Product and undertakes to dispatch it carefully packaged, subject to the delivery terms stated on the Website.

Article 6 – Complaints, withdrawal rights and mediation

6.1 – Complaints. A complaint alleging that a Product does not match its description must be submitted within 14 days of receipt by email or registered letter with acknowledgment of receipt. The complaint must be detailed and state the reasons for dissatisfaction. Members must cooperate with secondement.com and provide documents reasonably required to process the complaint.

6.2 – Non-receipt. The Buyer is asked to allow one week after dispatch notification before submitting a claim for total or partial non-receipt. Where a total non-receipt claim is accepted as valid, the Buyer will be reimbursed, except in cases of fraud.

6.3 – Lack of conformity. Completion of the sale may be subject to an assessment confirming that the Product is not counterfeit and is compliant. If SLLIX SASU finds a lack of conformity, the transaction may be cancelled. A Seller disputing that finding must provide any supporting documents available.

6.4 – Right of withdrawal. A non-professional Buyer has a statutory withdrawal right for eligible online purchases made within the European Union. The withdrawal period is 14 days from receipt of the Product. The Buyer must notify SLLIX SASU within the applicable period by registered letter or email through the relevant contact method. SLLIX SASU will provide return instructions. Unless otherwise required by law, return shipping costs are borne by the Buyer.

6.5 A Product returned following a complaint or withdrawal must be unused, complete and returned with its original accessories, documents, labels and seals, in equivalent protective packaging, within the applicable return period. The Product must be returned in the same condition as sent. Return shipping is borne by the Buyer except where the return results from a confirmed lack of conformity for which SLLIX SASU is responsible. Customs duties paid by the Buyer are not refunded unless required by law. Product photographs on the Website may be used as evidence in a dispute.

6.6 – Approved returns. Where a return and refund are approved, and SLLIX SASU verifies that the returned item is the Product supplied and has not been intentionally damaged, the Transaction Price will be refunded within the applicable legal timeframe. Once the Buyer has returned the Product and received reimbursement, the Buyer has no further ownership right in the returned Product.

Article 7 – Liability

7.1 The Seller represents and warrants that the Seller has full right to transfer ownership of the Product, that it has not already been transferred, pledged or otherwise encumbered in favor of a third party, and that the transaction does not infringe third-party rights. The Seller warrants compliance with applicable laws, including intellectual-property rules, and shall indemnify SLLIX SASU against loss arising from a breach of those warranties to the extent permitted by law. In cases of suspected fraud, stolen goods, illegal imports or similar offences, SLLIX SASU may provide relevant information to competent authorities.

7.2 Except where liability results from its own fault or cannot legally be excluded, SLLIX SASU is not responsible for indirect business or information losses, or for malfunction, failure, delay or interruption of internet access caused by external partners, suppliers or events outside its control.

7.3 To the extent permitted by applicable law, SLLIX SASU's monetary liability under these Terms is limited to the sale price of the relevant Product, except in cases of gross negligence or other liability that cannot lawfully be limited.

Article 8 – Termination and suspension

If a Member breaches obligations including by selling counterfeit items, operating unauthorized multiple accounts, committing payment fraud, attempted fraud or another criminal offence, SLLIX SASU may suspend the Member's access to the Website without prejudice to any right to seek compensation for loss suffered.

Article 9 – General provisions

9.1 SLLIX SASU may amend these Terms as its offering and the market evolve. Amendments take effect for online offers upon notification through an appropriate means and do not apply retroactively to transactions already in progress unless required by law. SLLIX SASU may also change technical contact details or interrupt the Service for operational, maintenance, emergency or force-majeure reasons.

9.2 Members access the Website using their own telecommunications equipment and services. SLLIX SASU does not provide devices, telephone installations, software subscriptions or other access equipment.

9.3 Personal information relating to Members is retained for the period necessary for the purposes for which it was collected and processed and in accordance with applicable legal retention obligations. Users have rights of access, correction, deletion and other rights provided by applicable data-protection law. Requests may be submitted through the Website's contact section or by email to contact@secondement.com. Identity verification may be requested where reasonably necessary to prevent fraudulent requests.

9.4 In a force-majeure event, the obligations of the affected party are suspended to the extent performance is prevented. Such events may include acts or omissions of government or competent authorities, telecommunications outages, civil unrest, war, emergency, fire, lightning, explosion, strike, flood, storm or acts of third parties beyond reasonable control.

9.5 If one or more provisions of these Terms are invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.

Article 10 – Personal data protection

Personal information collected in connection with transactions and use of the Website is processed for the purpose of providing the online services offered by SLLIX SASU and for other purposes described in the Website's privacy information. Processing is carried out in accordance with applicable data-protection legislation, including the GDPR and applicable French law.

Users may exercise their rights regarding Personal Data, including applicable rights of access, rectification, erasure, restriction, objection and portability, by using the “Contact us” section of the Website or by writing to contact@secondement.com with the information required to identify the request. Users may also update certain account information through the “MY ACCOUNT” area where available.

Article 11 – Governing law and jurisdiction

These Terms are governed by French law, as are contracts entered into with Members, without prejudice to mandatory consumer-protection rules that may apply. Any dispute with a Member acting in a professional capacity arising from the interpretation or performance of these Terms falls within the jurisdiction of the Paris Commercial Court, subject to mandatory rules of jurisdiction.
